The LLC Isn’t the Hard Part. Staying Compliant Is.

Forming an LLC is the easy part — a form, a filing fee, and a few days’ wait. What actually protects a founder is everything that happens after: keeping a registered agent current, filing the annual report on time, and never once mixing personal and business money.

Miss a registered agent’s notice and a lawsuit can result in a default judgment before you even know you were sued. Miss an annual report deadline and some states administratively dissolve the entity, quietly stripping the liability protection you thought you had. Commingle funds even once and a court has real grounds to pierce the veil entirely.

None of this is complicated. It’s just easy to deprioritize once the initial filing excitement wears off — which is exactly why it’s built into the curriculum as an ongoing discipline, not a one-time task to check off.
